ESOPJobs User Agreement and Privacy Policy

Introduction
Welcome to www.ESOPJobs.com.

ESOPJobs is an internet platform or web portal exclusively reserved to ESOP Companies, Business Owners, their officers and staff, and ESOP-related Professionals, whose purpose is to provide tools to facilitate professional networking among its registered members ("Participants" or "Users") throughout the world ("ESOPJobs" or "We" or "Us") By "Related Professional" we mean any professional who has a direct business link with ESOP companies and their future employees.

ESOPJobs intends to provide high quality internet service and, for the good of all its ESOP Users, encourages you to read this Agreement carefully. By you becoming a Participant and using ESOPJobs, you acknowledge that you have read and understood the terms of this Agreement, you agree that you are entering into a legally binding agreement (the "Agreement") and you agree to be bound by all its clauses.

Eligibility
You represent and warrant that you (a) are not under the age of 18; (b) are an ESOP Company professional, or involved in a business that directly relates to the ESOP markets as an employee; (c) a bonafide individual seeking a position in an ESOP company; (d) are not a competitor of ESOPJobs; (e) do not have more than one ESOPJobs account at any given time; (f) are not engaged in a sales network scheme and (g) have full authority to enter into this Agreement and by doing so you will not infringe any other agreement.

It is intended that Users only contact or connect to other ESOPJobs Users in order to develop a direct professional or social relationship that improves an ESOP Company’s experience to match a job with a job seeking person. It is not allowed to offer a User, or connect to a User in view of offering such User any goods or services that are not core to filling a job opening. For the avoidance of doubt, you are not allowed to use ESOPJobs to offer consumer goods directly to consumers, including but not limited to mobile phones, dating services, university courses, home and apartment services, etc. Anyone contravening to that rule will be banned as soon as reported or discovered, at the sole discretion of ESOPJobs, without notice and with no compensation for any payments that they have made to ESOPJobs and with no compensation of any kind. If you are in doubt then please contact Us via the contact us form and let Us know about your project.

General Terms
It is your responsibility to read our Terms on a regular basis and make sure you agree and abide by these terms. Should you have read our initial or updated Agreement after your registration and then disagree with its terms, it is your responsibility to unsubscribe from ESOPJobs and/or remove any information you have given. You must read and comply with notices sent by ESOPJobs concerning the ESOPJobs website

If you do not want to become a Participant, do not click "next" or "save" during the registration process and do not access or use in any way any ESOPJobs web page or service. By accessing or using any ESOPJobs web page or by clicking "next" or "save" during the registration process, whether for personal purposes or on behalf of a third party, you agree to be individually bound by the Agreement.

The Agreement shall be subject to the US Law and the parties agree hereby to submit to the exclusive jurisdiction of the US courts.

You may terminate this Agreement, for any or no reason, at any time, by providing a one (1) month notice to ESOPJobs before your subscription term. ESOPJobs may terminate the Agreement for any or no reason, at any time, with or without notice, such termination being effective immediately or according to the notice.

The terms of this Agreement shall survive any termination.

Users' Rights and Obligations
You must provide at your own cost all equipment, software, and internet and/or mobile connection and subscription necessary to connect to ESOPJobs.

You must comply at all times with all applicable laws and with the terms of this Agreement .

You agree to provide accurate information to Us and update it as necessary; photographs uploaded must be photographs of yourself.

It is your sole responsibility to decide which information about yourself you will share with ESOPJobs and the community of Participants. You must not reveal to ESOPJobs and its Users any information that could be prejudicial to you.

By providing any information to Us, you represent and warrant that such information is accurate, is not confidential, and does not infringe any contractual restrictions or other third party rights. You further agree to inform ESOPJobs in the event that any such information has changed since your registration with ESOPJobs and, when and where relevant, you agree to make such changes on www.ESOPJobs.com.

You have no obligation to share any information with Us, but if you choose to do so and share on ESOPJobs web pages any contents or ideas, you agree to grant ESOPJobs a non-exclusive, free of any royalty, irrevocable, unlimited, assignable and sub-licensable right to publish, use and commercialize by any way, on anything that you have shared with Us, without any further consent required from you, nor notice nor compensation to you or to any third party. Where necessary, you authorize ESOPJobs to modify such information to make it compatible with ESOPJobs' display constraints.

You are prohibited from reproducing or using contents relating to other Users of ESOPJobs for any purpose other than personal purposes and strictly limited to the use of ESOPJobs.

ESOPJobs includes collaborative sections (such as the Library for example) or chat windows where you can share your articles or comments on a number of topics. ESOPJobs cannot guarantee that others will not use nor distort contents that you share. Therefore, if you want to keep contents confidential and/or you do not want others to use such contents, you are responsible for marking your information confidential in your privacy settings (see privacy policy on page 4). ESOPJobs is not responsible for any use, misuse or misappropriation of any contents you have shared in ESOPJobs' web pages.

Provided that you comply with all terms of the Agreement, ESOPJobs grants you a limited, revocable, non exclusive, non-assignable, non sublicensable right to access contents on the ESOPJobs's web pages and to share contents as per the above conditions. You can access ESOPJobs web pages through a web browser. You are not allowed to use any kind of technology or specific software used to collect data. There are no other rights granted nor implied.

Using ESOPJobs to generate revenue through the transfer for free or the sale of your contacts details or information obtained on ESOPJobs web pages to third parties is strictly forbidden and is a serious violation of this Agreement.

You must keep your password confidential at all times, you must not use other Users' accounts and must not let others use your account; you are responsible for anything that happens through your account. You are not allowed to sell nor swap nor provide for free nor transfer your ESOPJobs account or any information contained in ESOPJobs to another party or charging anyone for access to any part of ESOPJobs web pages.

It is strictly forbidden to 1. Exploit ESOPJobs commercially in any way, including but not limited to publish, sell, redistribute or display ESOPJobs's contents that have not been posted by you in the first place, or share contacts with third parties, 2. Attempt to decipher or to enter into any part of the ESOPJobs's source code, 3. enter email, telephone or address information in other fields or other sections than those specifically designed for such information, and more generally enter contents in fields that are not relevant for such contents, 4. use contents, listings or features available on ESOPJobs to provide or contribute to any service that competes with ESOPJobs in a way or another, 5. Imply or claim, directly or indirectly, that you are endorsed by ESOPJobs, 6. Derive ESOPJobs' features and contents in whole or part, 7. Make unreasonably repetitive requests to ESOPJobs servers, 8. Use automated processes to perform any action on ESOPJobs, including but not limited to send messages or connections requests, other than those authorized by ESOPJobs, 9. Reproduce the appearance or features of ESOPJobs in any way in any service, 10. Try to or bypass or neutralize ESOPJobs platform security elements, 11. try interfere in any way with the good functioning of or impose an unreasonable load on the ESOPJobs's infrastructure, including but not limited to automated registrations, spams, viruses, 12. Post in your profile or in any ESOPJobs web page any content that is injurious, obscene, racist, xenophobic, or discriminatory or offending in any way at ESOPJobs's discretion, 13. Disclose any information that you do not have the right to disclose or that infringe any proprietary rights, 14. Include any advertising, spam, or any other kind of unsolicited request within connections requests messages or connect to people and then send such unsolicited requests via ESOPJobs's messaging features to other Users without their permission

Disclaimer and limitation of Liability
ESOPJobs provides its platform on an "as is" basis and does not provide any express warranty about information contained in the web pages nor about messages sent by Users nor about non-infringement of the rights of anyone nor about the continuation of the service.

ESOPJobs does not guarantee that its service will be uninterrupted or error free and declines all responsibility for damages caused by interruptions, errors or other reasons related or unrelated to ESOPJobs.

If you are not satisfied by ESOPJobs, your only remedy shall be the termination of this Agreement by closing your account.

ESOPJobs shall not accept any liability by any direct, indirect or consequential damage resulting from the use of ESOPJobs even if ESOPJobs has been made aware of such potential damage.

You agree to indemnify us and hold us harmless from any damages, losses and costs (including, but not limited to, attorneys' fees) related to third party claims caused by your failure to comply with this Agreement.

Privacy Policy
We take your privacy very seriously.

Some information you share on ESOPJobs may allow others to identify your nationality, ethnic origin, religion or other aspects of your private life that are considered as sensitive by a number of laws in various countries. You acknowledge and agree that you have no obligation whatsoever to share such information on any ESOPJobs web page and realize that any User may use or misuse such information. You are allowed to modify or remove such information at any time or even close your account completely but acknowledge that the information will have been available to the public from the moment you entered it until the moment you removed it and ESOPJobs will not accept any responsibility for the use or misuse it has been done of such information. ESOPJobs may keep a copy of this information for its legal archives and will not share with any third party unless required by law or to resolve a dispute.

For every field of your profile, except for those that are absolutely essential to the normal networking functions and which are compulsorily public and those that we consider as confidential and that we are using for administration and statistics purposes which are compulsorily not public, ESOPJobs has selected a privacy option for you by default but you have the option to make the information public or not public by using the privacy settings in "my profile". Please note that, while information that you have decided to set as not public will not appear in your public profile, such information will be used for matching purposes and your profile will appear in search results obtained if criteria requested are fulfilled by such information. For example, if you mention that you are open to new employment in a specific sector or in a specific function and you set this as not public, such information will not be visible in your profile but a Participant performing a search based on Participants being open to new employment in such specific sector or specific function will see you in their list of results.

In order to ensure the promotion of our Participants, limited portions of your profile, excluding contacts details, will be accessible on the public internet. If you do not wish to benefit from this value added service then please let us know by using the "Contact Us" form and we will use our best efforts to ensure that your ESOPJobs profile disappears from the public internet at the next search engines visits. Such a request may entail further developments from Us and we may not be able to accomplish it. Should you wish to write a testimonial about ESOPJobs, then please note that such testimonial may be used by ESOPJobs on its web pages or newsletters or any other kind of communication.

Any personal information you share will be secured. "Personal Information" is information that allow other Users to contact you, such as for example email address or telephone number. The Personal Information you share on ESOPJobs helps other Users to contact you and to potentially offer various opportunities to you. Non Personal Information, such as for example business profile or objectives or education, helps ESOPJobs to highlight various kinds of opportunities to you and match your business requirements with other Users that correspond to such requirements, and may be used to send or display messages or advertisements that are relevant to your profile. Such information that is collected by ESOPJobs from Users is the exclusive property of ESOPJobs and may be used as such. We will only share your Personal Information with third parties when you instruct us to do so, for example in a connection request, or to provide specific services or information or contribute to the promotion of your profile as a ESOP or related professional, or if it is requested by law or necessary within a legal process.

ESOPJobs will post general notices on the site as well as specific notices on pages that you visit (such as your "Business at a glance" for example) and send you emails mainly in order to fulfill its goal which is to help you save time by highlighting and forwarding relevant opportunities to you, and in general help you get the most out of its powerful tools.

In order to invite people you know to join ESOPJobs, ESOPJobs offers tools to facilitate your task and/or lets you enter their names and email addresses as well as a message. ESOPJobs will only use the names and email addresses of these people to send your invitation and reminders. Such information will only be viewable by you. Emails you send using ESOPJobs tools to invite non-members may include your name and email address. Emails you send using ESOPJobs tools to connect to existing members will include your name but not your email address. Such email address will be made available only to those Participants having accepted the connection request.

In order to monitor usage of the site, ESOPJobs uses cookies such as permanent or session cookies. Cookies allow Us to recognize you as a Participant when you come back into ESOPJobs website so that you do not need to log in again. Cookies may also be used by Us to enhance our service by identifying preferences and trends or by authorized third parties for audit, advertising or reporting purposes. We may provide anonymous profiles characteristics for the purpose of a more accurate contextual service, according to sectors or functions for example. No personal information is stored in cookies. You will not be able to access ESOPJobs if your browser does not allow cookies. Please note that if you click on "sign out" before exiting the site, you will need to enter your password next time you log into the site.

You can set and change your business and privacy preferences at any time in the Account & Settings' section.

ESOPJobs's Rights and Obligations
ESOPJobs may update, improve, discontinue or change its platform, web pages, display and tools at any time, at ESOPJobs's sole discretion. We may make amendments, suspend, partially or entirely discontinue ESOPJobs, add or amend prices for any ESOPJobs features. All amendments shall be effective once they are made public on ESOPJobs or communicated by email to you or via our newsletters. We reserve all rights, even not expressly granted in this Agreement, including, without limitation, all rights relating to ownership and intellectual property, and all related rights.

ESOPJobs reserves the right to withhold or remove any information that you have shared in any ESOPJobs web page, with or without notice. For avoidance of doubt, ESOPJobs has no obligation to store such information being removed.

When ESOPJobs's web pages contain links to third party web sites, ESOPJobs is not responsible for and does not endorse any advertising, products or services offered by such web sites. ESOPJobs may also include various kinds of applications or contents belonging to or originated by third parties. If you decide to access any third party site from ESOPJobs or to install or use applications or contents from such third party sites, you should read carefully the applicable terms of such websites. In that event, this Agreement is no longer applicable.

You acknowledge and agree that we may send you important information and notices regarding ESOPJobs by email or through other means and that we shall accept no liability for any failure from you to receive such information.

You acknowledge and agree that we may remove or disclose your registration and any other information you share if required to do so by law or if, in our reasonable opinion, such removal or disclosure is necessary to maintain the quality of the service or for whatever kind of reason.

It is not ESOPJobs's policy nor intention to do so but we may limit the number of connections you may have to other Users and prohibit you from contacting other Users through use of the Services if, in our reasonable opinion and at our sole discretion, we believe that it will contribute to maintain the quality of service as we wish it to be.

ESOPJobs has no obligation to check Participants identities when they are connected neither to the site nor to check the contents Participants have provided, nor to monitor the use of the service by the Users. ESOPJobs declines all liability for identity theft or any misuse of its contents. ESOPJobs does not monitor personal and private correspondence that would be viewed as threatening, offensive or abusive in nature. Should you believe that a User is misusing ESOPJobs in a way that is prejudicial to you, you must immediately inform ESOPJobs.

You are fully responsible for your interactions with other members. ESOPJobs reserves the right but has no obligation to monitor disputes between you and other Users, and reserves the right to close your account if ESOPJobs determines, in its sole discretion, that it is a relevant measure.

To raise a complaint that relates to ESOPJobs or the use of ESOPJobs, you need to send an email to ESOPJobs using the contact us form.

We reserve the right to amend the terms of this Agreement, such changes being effective once they have been made available on ESOPJobs or communicated by email or via newsletter.

ESOPJobs may freely assign or delegate its rights and obligations under this Agreement. We may also substitute ESOPJobs by any third party that would assume our rights and obligations under this Agreement.

ESOPJobs's failure to act in respect to a breach does not waive its right to act in respect to that breach.
